1. About the Service & Provider Identity

Spicelab is an AI platform operated by PT Spicelab Technology Intelligence, a legal entity established in the Republic of Indonesia, with registered address at Jl Cikini Raya FG 6 No 2, Tangerang Selatan 15227, Indonesia (“Spicelab”, “we”).

The Service consists of:

AI Customer Service — 24/7 auto-reply on WhatsApp & Instagram DM.
AI Social Media Manager — brand-trained content generation + auto-post.
AI Business Consultant — free diagnostic for package recommendation.
Other add-on services offered via consultation or Founder Mode.

2. Acceptance & Legal Capacity

By registering and/or using Spicelab services, you confirm that: (i) you are at least 18 years old and have full legal capacity, (ii) you have authority to represent the business entity you register, (iii) you agree to these Terms of Service and our Privacy Policy.

3. Account & Use

You are responsible for the security of your account credentials.
You warrant that the data you provide is accurate and up-to-date.
You use the Service only for lawful business purposes and do not violate Indonesian law.
You may not reverse-engineer, scrape, or resell access to our Service.
Each account is valid for one business entity. Multi-entity requires Enterprise plan.

4. Pricing & Payment

Lite: IDR 390,000/month — 500 AI replies/month cap, 1 channel.
Pro: IDR 1,490,000/month — 2,000 AI replies/month cap, 2 channels, 15 premium visuals + 3 premium videos.
Suite: IDR 4,900,000/month — paid-only, by invitation (no free trial).
Enterprise & Founder Mode: Custom pricing — by invitation.

Payment via DOKU (credit card, bank transfer, QRIS, e-wallet). Invoice issued automatically each month. Tax (VAT 11%) is included for domestic transactions.

5. 7-Day Free Trial

Lite and Pro plans are available for a 7-day free trial without credit card — just WA number + email. Trial caps: Lite 100 replies, Pro 300 replies + 3 visuals + 1 video, each with 1 channel. After the cap, Save Mode activates — the AI keeps replying and unused quota does not expire. Suite is not available for free trial (paid-only, by invitation).

No auto-charge. After the trial ends without upgrade, the account automatically enters read-only mode (not deleted) for 30 days. You may upgrade any time to reactivate. Beyond 30 days of read-only, data is permanently deleted per Privacy Policy Section 10.

No money-back guarantee post-subscribe. Enterprise and Founder Mode follow the terms agreed in their respective contracts.

6. Cancellation & Data Export

You may cancel your subscription at any time with 1-click in the dashboard. No exit interview, no penalty. The account remains active until the end of the current billing period. Data can be exported to CSV/JSON before permanent deletion (90-day grace period after cancellation). For immediate deletion, see User Data Deletion.

7. Your Content & Ownership

You retain full ownership of brand voice content, content assets, and customer data that you upload or that the AI generates for your business. We are granted only a non-exclusive, time-limited license to process, store, and display such content during your use of the Service.

8. AI-Generated Content

Our AI generates content (images, videos, captions, customer replies) based on your brand calibration. You fully own these outputs and may use them commercially. However, AI is not perfect — you are responsible for reviewing content before publishing/sending to customers. Spicelab is not liable for the consequences of content you publish.

9. Third-Party Platform Compliance (Meta & others)

If you use Meta integrations (Facebook, Instagram, WhatsApp Business), TikTok, or other third-party platforms via Spicelab, you agree to:

Comply with Meta Platform Terms, Developer Policies, Community Standards, and WhatsApp Business Policy.
Content you publish or reply via integrations is subject to the destination platform's policy. Violations may result in suspension/ban by that platform — Spicelab is not liable for third-party suspensions.
Spicelab as a Meta App Developer is subject to Meta Platform Terms. We reserve the right to discontinue certain integration features if Meta revises policies that conflict with our operations.
You warrant that you have the right/authority to connect the Meta/TikTok/WhatsApp business accounts you integrate with Spicelab.

10. Prohibited Use (Acceptable Use Policy)

Mass spam outside your own customer base.
Generating illegal content (fraud, pornography, hate based on SARA, online gambling, drugs).
Reverse-engineering, decompiling, or scraping our Service.
Reselling access without a written partnership contract from Spicelab.
Bypassing fair-use quotas via technical means (multi-accounts, automated abuse).
Sending malware, phishing, or social engineering via channels connected to Spicelab.
Infringing IP / copyright of third parties (see Section 11 DMCA).

Material violations = account suspended without refund for the violation period. Spicelab is obligated to report to law enforcement when lawfully required.

11. Intellectual Property & DMCA

If you believe content hosted/generated via Spicelab infringes your copyright, send a takedown notice to legal@spicelab.ai with the following information:

Identification of the copyrighted work claimed to be infringed.
URL or specific location of the infringing content.
Your contact details (name, address, phone, email).
A good-faith statement that you are the rights owner / authorized agent.
A statement under penalty of perjury that the above info is accurate.
Physical or electronic signature.

We will respond within 7 business days and take takedown action if the claim is valid.

12. Service Level (SLA)

We aim to maintain uptime ≥99.5%/month. If uptime falls below 99% in any 30-day rolling period, you are entitled to pro-rata service credit. Scheduled maintenance will be notified at least 48 hours in advance. Downtime caused by third parties (Meta, Anthropic, OpenAI, Cloudflare) is not counted as SLA breach.

13. Limitation of Liability

The Service is provided “as-is” without warranties of any kind, express or implied. Spicelab's maximum liability is limited to the subscription fees you paid in the preceding 3 months. Spicelab is not liable for:

Lost profit, lost revenue, lost goodwill.
Data loss caused by the user.
Consequences of content you publish.
Downtime or breaking changes from third parties (Meta, Anthropic, OpenAI, etc.).
Indirect, incidental, special, consequential, or punitive damages.

14. Indemnification

You agree to defend, indemnify, and hold harmless Spicelab and its directors, employees, and affiliates from any claims, losses, costs (including attorney's fees) arising from: (i) your breach of these Terms, (ii) violation of third-party rights (IP, privacy, contract), (iii) content you publish via Spicelab, (iv) use of the Service not in accordance with official documentation.

15. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including: natural disasters, war, pandemic, government action, large-scale internet infrastructure failure, account suspension by third-party platforms (Meta, Anthropic, etc.).

16. Service & Terms Changes

We may update features, pricing, or discontinue specific services. Material pricing or material changes will be notified at least 30 days in advance via email + dashboard. You may cancel without penalty if you disagree.

17. Severability

If any provision of these Terms is declared invalid or unenforceable by a competent court, that provision shall be modified to the minimum extent necessary to be valid, while the remaining provisions shall remain in full force and effect.

18. Governing Law & Dispute Resolution

This agreement is governed by the laws of the Republic of Indonesia. Disputes shall be resolved through good-faith negotiation first (30-day mediation). If unsuccessful, disputes shall be settled at the South Jakarta District Court.
